Terms of Service

ADsShip is operated by Awalob Tech (“we”, “us”, or “our”).

These Terms of Service (“Terms”) govern access to and use of ADsShip, including our web application and related APIs (the “Service”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

ADsShip is a B2B advertising orchestration tool that helps operators and agencies connect advertising platform manager accounts (for example Google Ads MCC, Meta Business Manager, and other supported platforms) and manage brand campaigns under those hubs. Features may include brand management, account provisioning, campaign planning, creative generation, deployment, monitoring, and related tooling.

The Service is provided for business use. We may update, add, or remove features from time to time.

2. Eligibility and accounts

You must be able to form a binding contract and be at least 18.
You are responsible for the accuracy of information you provide and for maintaining the security of your access credentials and workspace.
You are responsible for activity that occurs under your workspace, including actions taken by users you invite or authorize.

3. Platform connections and advertising accounts

When you connect Google, Meta, or other platforms, you authorize us to access and use those APIs on your behalf as needed to provide the Service.
You must have the right to connect manager hubs and to create or manage ad accounts and campaigns for the brands you operate.
You remain solely responsible for advertising content, targeting, budgets, billing on ad platforms, compliance with platform policies, and all spend incurred on connected ad accounts.
Platform providers (Google, Meta, Microsoft, TikTok, and others) have their own terms. Your use of those platforms is subject to those terms.

4. Acceptable use

You agree not to:

Use the Service for unlawful, deceptive, or abusive advertising
Violate advertising platform policies, intellectual property rights, or privacy laws
Attempt to gain unauthorized access to the Service, other workspaces, or connected systems
Reverse engineer, scrape, or overload the Service except as allowed by law
Misrepresent affiliation with Awalob Tech or use the Service to harm others

We may suspend or terminate access if we reasonably believe these Terms or applicable laws have been violated.

5. AI features

Some features may use AI models to generate copy, creatives, or recommendations. AI outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before publishing ads or taking actions that incur spend.

6. Intellectual property

We and our licensors own the Service, including software, branding, and documentation. You retain rights to content you upload and to your brand materials. You grant us a limited license to host and process that content solely to operate the Service.

7. Fees

The Service may be offered without charge during early access. If we introduce paid plans, we will communicate pricing and billing terms before charging you. Advertising spend on Google, Meta, and other platforms is billed by those platforms directly and is not ADsShip subscription fees.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE uninterrupted service, specific advertising results, approval of ads by platforms, or error-free AI output.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWALOB TECH AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR ADVERTISING SPEND ON THIRD-PARTY PLATFORMS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID US).

11. Indemnity

You will defend and indemnify Awalob Tech against claims arising from your content, campaigns, ad accounts, misuse of the Service, or violation of these Terms or platform policies, except to the extent caused by our willful misconduct.

12. Termination

You may stop using the Service at any time and may disconnect platform OAuth connections. We may suspend or terminate access with notice where practicable, or immediately for abuse, legal risk, or non-payment (if applicable). Provisions that by nature should survive (including ownership, disclaimers, liability limits, and indemnity) will survive termination.

13. Changes

We may update these Terms. The “Effective date” will change when we do. Continued use after an update constitutes acceptance of the revised Terms, except where applicable law requires additional consent.

14. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, unless mandatory local law provides otherwise for your location.
